After the $500 million settlement with Dish Network Corp. (DISH) and EchoStar Corp. (SATS), Tivo Inc. (TIVO) is on the take over radar of multiple companies such as Google Inc. (GOOG), Microsoft Corp. (MSFT) and Rovi Corp. (ROVI), as reported by Bloomberg. Bloomberg has estimated that Tivo could be sold at a price of $20 per share, indicating a market cap of $2.41 billion. In its last quarter, Tivo had settled a seven-year-long patent dispute with Dish and EchoStar over TiVo’s time warp technology. Now, according to the terms of the settlement, TiVo will allow DISH Network and EchoStar to use its time warp patent, in return for a $500.0 million payment that Tivo will receive from the two. This amount includes an initial payment of $300.0 million, while the

Operating performance TiVo reported first quarter 2012 net income of $140.1 million compared with a net loss of $14.2 million in the prior-year quarter.
DISH Network Corp. (DISH) declared financial results for the first quarter of 2011. Quarterly GAAP net income was $549 million or $1.22 per share compared with a net income of $218.2 million or 52 cents per share in the prior-year quarter. First quarter of 2011 EPS of $1.22 was well above the Zacks Consensus Estimate of 68 cents. This fabulous performance was primarily attributable to higher total revenue and lower subscriber promotion subsidies, which declined by a whopping 27.7% year over year. In another major development, DISH Network and its sister concern EchoStar Corp. (SATS) have settled all their pending legal battles with TiVo Inc. (TIVO) related to patent infringement. DISH Network and EchoStar will pay $500 million to TiVo, of which $300 million will be paid upfront and the

TiVo Inc. (TIVO), a developer of advanced television services including digital video recorders (DVR), was accused of infringing DVR patents according to a latest suit filed by Motorola Mobility Holdings Inc. (MMI). Motorola indicated that it was seeking to protect its interests after TiVo sued Verizon Communications Inc. (VZ), which uses Motorola’s technology, for patent infringement. Motorola claimed that it had acquired the DVR patents through the acquisition of Imedia, which filed for the patents in April 1995. TiVo has a long history of fighting law suits against major companies such as Echostar Corp. (SATS), Dish Network Corp. (DISH), Microsoft Corp. (MSFT), AT&T Inc. (T) and Verizon. In August, 2009, TiVo filed a complaint against AT&T Inc. and Verizon Communications, Inc. for the infringement of three TiVo patents. In February,

TiVo Inc. (TIVO), a developer of advanced television services including digital video recorders (DVR), will have to face a reopened patent infringement lawsuit originally filed by Echostar Corp. (SATS) in 2005, according to a recent U.S. District Court order. Under the order, the U.S. District Court for the Eastern District of Texas lifted its stay on EchoStar’s patent infringement suit against TiVo. The suit, originally filed by EchoStar on four patents, has been brought down to one patent. EchoStar has also changed its position regarding the meaning of claim terms. The patent pertains to a mechanism that controls how multimedia files are stored, formatted and accessed. Hostilities between TiVo and Echostar dates back to 2004, when TiVo sued EchoStar, then the parent company of satellite television provider Dish Network Corp.

A loss per share of 18 cents was worse than the Zacks Consensus Estimate of a loss of 17 cents. This was in line with the high end of management’s guidance of a loss of $19.0 million to $21.0 million. The year-over-year decline was mainly due to weak revenue growth, lower subscriber additions and increasing operating expenses based on higher litigation expense. (TIVO), a leading provider of technology and services for DVRs, offers a subscription-based service that enables consumers to record, watch and control live television. The inconsistency in results, lack of profitability, falling revenue and margins and conservative guidance indicates that the stock will perform below the market. With falling margins, we do not expect the company to become profitable in the next several quarters. With negative earnings and falling revenues, we initiate the stock at Underperform. TiVo’s third-quarter results fell substantially from the prior-year quarter and missed the Zacks Consensus Estimate. Despite an improving spending environment, the company provided lower-than-expected guidance. Management expects a higher net loss in the range of $13 million to $15 million in the fourth quarter of 2010 due to higher R&D and litigation

In a major move, the US telecom regulator Federal Communications Commission (“FCC”) recently voted for the elimination of the so-called “Terrestrial Loophole” regulation that so far allowed cable operators to block competitors’ access to some popular video programming. The FCC voted 4-to-1 for abolishing the rule under the regulator’s Cable Act of 1992. The opposing vote came from a Republican member of the FCC. The laissez-faire Terrestrial Loophole regulation enabled cable companies to deny competitors (such as telecom and satellite TV operators) access to specific must-see entertainment programs which they own. Until now, FCC’s Cable Act prevented cable operators from blocking competitor access to video programming that are aired over satellite networks. However, the law allowed them to block video content being delivered over a terrestrial (land-based) fiber connection. FCC’s
