After being refused twice, Biogen Idec (BIIB) launched a hostile bid to acquire its development partner, Facet Biotech (FACT) for $14.50 per share, by taking its offer directly to Facet’s shareholders. Biogen also sent a letter to Facet’s Board stating that Facet’s cash balance is less than Biogen’s offer price. The deal is valued at approximately $356 million. The tender offer will expire at 12:00 midnight, ET, on Oct. 19, 2009. As a reminder, Biogen had initially approached Facet with an offer of $15 per share on Aug. 17, 2009. However, Facet did not accept the offer as the company believed that it was not in the best interests of its shareholders. Soon thereafter, Facet entered into a collaboration with Trubion Pharmaceuticals (TRBN), a move that was criticized by Biogen.

Yesterday, Cell Therapeutics (CTIC) released encouraging data from the 18-month follow-up clinical trial of pixantrone for the treatment of patients with advanced, relapsed or refractory, aggressive non-Hodgkin’s lymphoma (NHL). The original trial compared pixantrone with standard chemotherapy; the results of which were reported last November. The company completed filing its rolling New Drug Application (NDA) in June this year and has been assigned a Prescription Drug User Fee Act (PDUFA) date of Apr 23, 2010. The follow-up trial conducted over a period of 18 months found improved results for patients on pixantrone compared to the control group. Based on the parameters of complete response (25.7% vs. 7.1% in control group), overall response rate (40% vs. 14.3%) and progression free survival (5.6 months vs. 2.6 months), the pixantrone data were better

We believe the dispute between Elan Corp. (ELN) and its US partner Biogen Idec (BIIB) over multiple-sclerosis drug Tysabri has been resolved at last. The row started when Elan signed a deal with Johnson & Johnson (JNJ) last July. But now, the two companies have amended this deal to drop the terms involving Tysabri. J&J will now pay $885 million, down from the previously announced $1 billion for an 18.4% stake in Elan. However, J&J’s $500 million investment for a majority stake in the Alzheimer’s disease pipeline remains unchanged. Although Elan claimed that the new terms will restore its ‘unintended breach’ of contract with Biogen Idec related to Tysabri rights, we are yet to know whether its US partner has accepted this argument. Biogen and Elan have a 50-50 partnership

On Friday, Genzyme Corp. (GENZ) presented encouraging four-year follow-up phase II data on alemtuzumab, which is being developed for the treatment of multiple sclerosis (MS). Results showed durable reductions in relapse rate and sustained accumulation of disability even three years after patients received their last course of alemtuzumab. The company presented these efficacy and safety data at the annual meeting of the European Committee for Treatment and Research in Multiple Sclerosis in Germany. This CAMMS223 study was conducted in early, relapsing-remitting MS patients, who were randomized to receive either alemtuzumab or Pfizer/Serono’s (PFE) Rebif. Patients taking once-yearly cycles of alemtuzumab reduced their risk of relapse by 72% and the risk of sustained accumulation of disability by 73% compared to patients receiving Rebif.
We were disappointed to hear that the US Food and Drug Administration (FDA) has granted standard review status to Cell Therapeutics’ (CTIC) pixantrone for the treatment of relapsed and refractory non-Hodgkin’s lymphoma (NHL). The company completed filing its rolling New Drug Application (NDA) in June this year and asked for priority review. Priority review would have reduced the approval period by four months. Pixantrone, currently under a ten-month standard review, has been assigned a Prescription Drug User Fee Act (PDUFA) action date of April 23, 2010. NHL is a cancer that affects lymphocytes, a type of white blood cell that helps fight infection. Since pixantrone had already received fast-track status from the FDA, we were expecting a priority review for the drug. In June, Cell Therapeutics presented encouraging results from

Biogen Idec (BIIB) received good news yesterday in the form of a favorable court ruling in its dispute with partner Elan Corp. PLC (ELN) regarding their 10-year collaboration for multiple sclerosis drug Tysabri. As a reminder, Elan took Biogen to court in early August 2009 in order to prevent Biogen from gaining control over Tysabri. Soon after, Johnson & Johnson (JNJ) signed an agreement to acquire an 18.4% stake in Elan for $1.5 billion, Biogen claimed that Elan has breached the collaboration agreement between the two companies for Tysabri. In addition to its 18.4% stake in Elan and a majority stake in Elan’s Alzheimer’s disease pipeline, J&J reportedly received an option to acquire Elan’s 50% stake in Tysabri, if there is a change in ownership at Biogen. The company stated that treatment with Angiomax resulted in improved survival rates in patients who had suffered from the most severe form of heart attack and received angioplasty. Approximately 3,600 patients with ST elevation myocardial infarction (STEMI), the most severe form of acute heart attack, and undergoing primary percutaneous coronary intervention (PCI), commonly known as angioplasty, were studied in the trial. Patients were randomized to receive Angiomax with provisional use of a glycoprotein IIb/IIIa inhibitor or heparin plus a glycoprotein IIb/IIIa inhibitor. Results showed that Angiomax reduced cardiac-related death by 43%, improved overall survival by 27% and reduced major bleeding complications by 39%, compared to the standard of care.
The pharmaceutical industry is entering a period of substantial change in 2009. Most of the names in the industry are facing significant patent challenges in the years to come. U.S.-based firms are facing foreign exchange headwinds, as well. Revenue growth is non-existent, and earnings growth is being driven primarily by mergers, cost-cutting and share buybacks. Knowing that investors rarely pay-up for this type of manufactured earnings growth, we struggle to see a broad-based out-performance for the large-cap pharmaceutical sector in 2009.
