Laboratory Corporation of America Holdings (LH) received the much awaited nod from the US Federal Trade Commission (FTC) for the proposed acquisition of Orchid Cellmark (ORCH). The FTC nod comes with the rider that LabCorp will have to hive off certain assets of Orchid’s US government paternity business following completion of the transaction. This would reduce the “anti-competitive impact” of the proposed merger, according to the federal agency. LabCorp has agreed to sell those assets to DNA Diagnostics Center, an Ohio based privately held provider of DNA paternity testing. The pending issue with FTC dates back to May 2011. The company’s tender offer for Orchid is scheduled to expire today, unless extended further. LabCorp had decided in April 2011 to acquire Orchid for $2.80 per share, coming to a total

Laboratory Corporation of America Holdings (LH) has once again extended the tender offer for Orchid Cellmark (ORCH) until December 9, 2011. The company had earlier extended the tender offer to November 30. In May 2011, the company received a request from the Federal Trade Commission (FTC) for some additional information related to the transaction. LabCorp is cooperating with the FTC on this issue. To date, about 88.2% of the outstanding shares of Orchid have been tendered. LabCorp had decided in April 2011 to acquire Orchid Cellmark for $2.80 per share, coming to a total consideration of $85.4 million, all in cash. After taking into account Orchid Cellmark’s cash balance, LabCorp’s net payable comes to $65.6 million.
Genomic Health (GHDX), an oncology based biotech company, will present results from 16 studies at the San Antonio Breast Cancer Symposium in December. The company has been recording robust revenue growth over the last few quarters banking on its flagship product, Oncotype DX breast cancer test. The test is used for early stage breast cancer patients to predict the likelihood of cancer recurrence, patient survival within 10 years of diagnosis and chemotherapy benefit. Although the Oncotype DX colon cancer test was launched in 2010, it is yet to make a significant contribution to the top line. Genomic Health has undertaken several studies to expand the use of Oncotype DX. The company is studying the utility of the Oncotype DX test in patients with ductal carcinoma in situ (DCIS).
by Marc Lichtenfeld, Investment U Senior Analyst Wednesday, November 9, 2011: Issue #1639 I just got back from my annual physical. Fortunately, everything was fine. But my experience solidified my belief that one of the major healthcare trends that will emerge is the concept of personalized medicine. I had been going to the same doctor every year since 2003. He’s a good guy and has helped me when I’ve been sick. But when I went for my physical every year, he’d tell me to watch my cholesterol, turn my head and cough, and that was pretty much the end of it. This year, I changed doctors. The practice I go to takes a more holistic approach. No, they’re not burning incense and the place doesn’t smell like patchouli. They’re still

The agreement, effective since January 1, 2007, will continue until 2018. Under the terms of the agreement, LabCorp will continue to be the national laboratory for UnitedHealthcare and Oxford Health Plans and the exclusive laboratory provider for some HMO benefit plans. In 2006, LabCorp had entered into a 10-year agreement with UnitedHealthcare to become its exclusive national laboratory.
Leading diagnostics player Quest Diagnostics (DGX) is dissatisfied with the outcome of a nationwide study that it had carried out along with the Colon Cancer Alliance. The data demonstrated that one in three of men and women aged 60-70 have been screened for colon cancer only once. However, the medical guidelines suggest periodic testing after initial screening at age 50 by colonoscopy and other methods. Recommended screening tests include colonoscopy (every 10 years), flexible sigmoidoscopy or virtual colonoscopy (every five years), and fecal occult blood (FOBT) and fecal immunochemical (FIT) tests (annually). Screening at regular intervals is significant as colon cancer is the second leading cause of cancer death in the US. However, it is often treatable when detected in early stages.
Laboratory Corporation of America Holdings (LH) has decided to extend the tender offer for Orchid Cellmark (ORCH) till July 15, 2011. Earlier, in May 2011, the company received a request from the Federal Trade Commission (FTC) for some additional information related to the transaction. LabCorp is cooperating with the FTC on this issue. Till date about 88.2% of the outstanding shares of Orchid have been tendered.
Leading diagnostics player, Quest Diagnostics (DGX) took a step forward toward the proposed acquisition of Celera Corporation (CRA). The company recently announced that the waiting period under the HSR Act has expired, though some other conditions are yet to be met. The tender offer to acquire the shares of Celera is supposed to close on April 25, 2011, unless extended further. Last month, Quest decided to acquire Celera for $8 per share, through which the company plans to strengthen its footing in molecular diagnostics discovery and development. Celera’s proprietary genetic tests, pipeline of biomarkers, along with esoteric cardiovascular test, offered by Berkeley HeartLab should drive Quest’s revenues. Celera, with revenues of $128 million in 2010, is expected to add just over 1% to Quest’s 2011 revenue growth. The transaction, to

However, revenues declined 1.4% to $1.9 billion, driven by a decline in both volume and pricing. Meanwhile, the company proactively negotiated contracts with some MCOs at reduced prices. Although this gives more visibility, revenue per requisition was affected in the near term. Quest is adopting strategies such as suitable acquisitions Incorporatedreased sales force and targeting additional geographies to drive its top line. Meanwhile, Genomic launched its colon cancer test in January 2010, though this test will take a fair amount of time before contributing significantly to the top line. As a result, the company is solely dependent on the breast cancer test. We are optimistic about D-tagatose, a functional sweetener and a naturally occurring L-epimer of D-Fructose currently under phase III development for the treatment of type 2 diabetes. D-tagatose, or Naturlose as it is branded, was originally developed as a natural sugar-substitute (sweetener) for food and OTC product applications. The molecule has a similar taste and texture to sucrose (table sugar), is 92% as sweet, but has only 38% of the calories. Spherix used chiral carbohydrate research to create L-sugars that would not be metabolized by the body, but would retain sweetness. The body lacks the enzyme necessary to efficiently metabolize this molecule, and thus it is poorly absorbed in the small

The 12-gene diagnostic test aims to predict individual recurrence risk in stage II colon cancer patients after surgery. The Genomic Health test is the first multigene expression test developed for assessing the risk of recurrence in patients suffering from stage II colon cancer. Stage II colon cancer (also known as Dukes’ Stage B) affects approximately 30,000 -40,000 people annually in the United States and the current treatment paradigm is not very clear. About a third of the patients receive chemotherapy post surgery. However, research indicates that chemotherapy benefits only 2% to 4% of patients. Furthermore, the treatment has significant associated toxicity. The decision to treat patients with chemotherapy post surgery is based on
